Please read section 29. It says most disputes between you and us are decided by an arbitrator, one person at a time, not by a judge or jury and not in a class action. You can opt out within 30 days. Section 26 also contains a release of claims.
1. About these terms and how you accept them
1.1. These terms are a contract between you and RLHF Labs LLC ("FixRally", "we", "us"). They apply to the FixRally apps for iOS and Android, app.fixrally.com, fixrally.com, and our emails, push notifications and text messages (together, "FixRally").
1.2. How you accept. When you sign up, we show you these terms, the Privacy Policy and the Community Rules, next to an unchecked box. You accept by ticking that box and creating your account. We store the version you accepted and the time you accepted it. If you do not accept, do not create an account.
1.3. Customers without an account. A homeowner or other customer who opens a referral link and sends a request without creating an account agrees to the Customer Terms (fixrally.com/customer-terms), not these terms.
1.4. These documents are part of these terms:
- Community Rules (fixrally.com/community-rules);
- Referral Terms (fixrally.com/referral-terms), when you make or respond to a referral;
- Partner Program Terms (fixrally.com/partner-terms), when you invite people to FixRally;
- SMS Terms (fixrally.com/sms), when you opt in to our text messages.
1.5. Our Privacy Policy (fixrally.com/privacy) explains how we handle personal information.
1.6. If you sign up on behalf of a business, you confirm you have authority to bind that business. "You" then means both you and the business.
2. What FixRally is
2.1. FixRally is an online community for trade professionals ("pros"), such as HVAC, plumbing, electrical, chimney and duct cleaning businesses, and the people who work with them. Users can post, ask and answer questions, connect, message each other and refer customers to each other.
2.2. FixRally provides software and a meeting place. We do not perform, supervise, direct or inspect any work. Section 14 explains what we are not.
3. Who can use FixRally
3.1. You must be at least 18 years old and able to form a binding contract.
3.2. You may not use FixRally if the law prohibits it, if you are subject to the sanctions described in section 32, or if we have banned you before.
3.3. FixRally is designed for users in the United States. If you use it from another country, you are responsible for following your local law.
4. Account types
4.1. Pro: a business, technician or agency in the trades. Pros can post as a business and respond to leads.
4.2. Member: a homeowner, job seeker, learner or anyone who is not a pro. Members can follow, react, comment, save, ask questions and refer people as individuals. Members cannot respond to leads or post as a business.
4.3. Vendor: a tool maker, supplier, software company or agency. Vendors can post and run a page. Vendors cannot refer customers or take leads.
4.4. A business owner can add technicians to the business. The owner decides whether a technician may refer residential customers. Only owners may refer commercial customers.
5. Your account and security
5.1. Give us accurate information and keep it current.
5.2. One person per login. Do not share your login, sell or transfer your account, or create an account for someone else without their permission.
5.3. Do not create more than one personal account, and do not create a new account after we suspend or ban you.
5.4. Keep your password and devices secure. You are responsible for what happens on your account.
5.5. Tell us right away at support@fixrally.com if you think someone else is using your account.
6. Community Rules
6.1. The Community Rules are part of these terms. You must follow them everywhere on FixRally: posts, comments, messages, profiles, groups and referrals.
6.2. FixRally has zero tolerance for objectionable content and abusive users. We remove harassment, threats, hate, sexual content, scams and illegal content, and we ban the accounts behind them.
7. Your content
7.1. You own your content. Your posts, photos, clips, comments, answers, messages and profile stay yours.
7.2. License to operate FixRally. You give RLHF Labs LLC a non-exclusive, worldwide, royalty-free license to host, store, copy, display, format, resize, transmit and distribute your content, for the purpose of operating and providing FixRally. This includes showing content you mark Public on fixrally.com, where search engines may find it. We may let our service providers use your content only to help us run FixRally.
7.3. Advertising needs separate permission. We will not use content that shows an identifiable person or an identifiable home, or that uses your name or business as an endorsement, in FixRally's own advertising unless you give us separate permission for that use.
7.4. When the license ends. The license ends when you delete the content or your account, except for copies kept for the periods described in our Privacy Policy and records we must keep by law or for safety and moderation.
7.5. Your promises about content. You promise that:
- you own your content or have permission to post it;
- you have the customer's permission before you post a photo or clip of their home or job;
- your content does not break the law or the Community Rules, or infringe anyone's rights.
7.6. Other people's work. Posting someone else's photo, clip or text needs their permission. Giving credit is not permission. You may share a link to another user's public post through FixRally's share tools.
7.7. We do not review content before it is posted. We may review, hide, remove or refuse any content at any time.
8. Feedback
If you send us ideas, suggestions or feedback about FixRally, we may use them for any purpose without paying you or owing you anything. You do not have to send feedback.
9. Confidential information from other users
9.1. Other users may share information with you that is not public. Examples: a customer's name, phone number or address in a lead; job details; photos sent in a chat; prices sent in a quote.
9.2. Use that information only for the job or conversation it was shared for. Do not publish it, sell it, add it to a marketing list, or share it with anyone who does not need it for that job.
9.3. Once a customer chooses you, your work for that customer is your own business relationship. This section does not stop you from serving a customer who chose you.
9.4. These duties continue after your account ends.
10. Reports, moderation and blocking
10.1. Every post, comment, message, story and profile has a Report option. Reports go to a person on our team.
10.2. We aim to act on reports within 24 hours. We may hide content while we review it.
10.3. We may remove content, limit features, or suspend or ban accounts. We do not tell anyone who reported them.
10.4. You can block anyone (no contact and no visibility either way) or mute anyone (you stop seeing them). They are not told.
10.5. If you think we made a mistake, email support@fixrally.com with "Appeal" in the subject line. A person will look at it.
11. Copyright complaints
11.1. We respect copyright and expect users to do the same.
11.2. Notice. If you believe content on FixRally infringes your copyright, send a written notice to: Copyright Notices, RLHF Labs LLC, 5416 Spring Mountain Rd, Unit 103, Las Vegas, NV 89146, or by email to support@fixrally.com with "Copyright Notice" in the subject line. Include:
- your physical or electronic signature;
- the copyrighted work you say is infringed;
- the content you say infringes it, and where it is on FixRally (for example, a link);
- your name, address, phone number and email;
- a statement that you believe in good faith that the use is not authorized by the owner, its agent or the law;
- a statement that the notice is accurate and, under penalty of perjury, that you are the owner or authorized to act for the owner.
11.3. Counter-notice. If your content was removed and you believe it was a mistake or misidentification, send a counter-notice to the same address with:
- your physical or electronic signature;
- the content that was removed and where it appeared;
- a statement, under penalty of perjury, that you believe in good faith the content was removed by mistake or misidentification;
- your name, address and phone number;
- a statement that you consent to the jurisdiction of the federal district court for your address (or, if you are outside the United States, any judicial district where we may be found), and that you will accept service of process from the person who sent the original notice.
We may forward the counter-notice to the person who sent the notice. We may restore the content 10 to 14 business days after we receive a valid counter-notice, unless that person tells us they have filed a court action.
11.4. Repeat infringers. We close the accounts of users who repeatedly infringe copyright.
11.5. Do not send false notices or counter-notices. Knowingly false claims can create legal liability.
12. FixRally AI
12.1. Some features use artificial intelligence. AI content is labeled "FixRally AI" and never pretends to be a person.
12.2. AI answers can be wrong, incomplete or out of date. They are not professional, engineering, legal, safety or code-compliance advice.
12.3. Always follow the manufacturer's instructions, local codes, licensing rules and safe work practices, especially for gas, electrical, refrigerant, combustion and venting work.
12.4. Answers from other users are their own opinions. We do not check them.
12.5. Do not put a customer's name, phone number or address in a question to FixRally AI. The Privacy Policy explains how AI questions are processed.
13. Referrals
13.1. Pros and Members can refer customers to pros. The Referral Terms explain how referrals and referral fees work.
13.2. In the current version, referrals are tracked only. FixRally records the referral, the quote, the fee the two users agreed and whether it was paid. Any fee is paid directly between the users, outside FixRally. FixRally does not collect, hold, guarantee or enforce referral fees.
13.3. Paid referral modes described in the Referral Terms apply only after we enable them in the app and tell you.
14. What FixRally is not
14.1. FixRally is not a party to any job, quote, contract, warranty, referral-fee agreement or payment between users. Those agreements are only between the users who make them.
14.2. FixRally is not a contractor, employer, broker, agent or insurer of any user.
14.3. FixRally does not hold funds in escrow and is not a licensed money transmitter. The current version moves no money at all. When paid features launch, payments will be processed by a third-party payment processor.
15. No guarantee of results
We do not promise that you will receive any lead, referral, job, customer, income, ranking or other result from using FixRally. Results depend on many things outside our control.
16. No endorsement or vetting
16.1. We do not screen, vet or endorse users, their work or their content, unless we expressly say we checked a specific thing.
16.2. Badges and labels are point-in-time statements, not warranties. A badge or label means only what it says, on the date it says. It does not promise that a pro is licensed or insured today, or that a pro is qualified, honest or safe.
16.3. Ratings, recommendations and answers are the opinions of the people who give them.
16.4. Use your own judgment before you hire, refer or work with anyone. You can check a contractor's license with your state's licensing board.
17. Your responsibilities as a pro
If you offer services through FixRally, you are responsible for:
- holding every license, registration, permit and insurance policy your work requires;
- following all laws that apply to your work, your advertising, your contracts with customers, and any referral fee you pay or receive (some states and trades limit referral fees; check the rules where you work);
- your quotes, your work, your warranties and your dealings with customers;
- your taxes, including taxes on referral fees and partner commissions.
18. Independent relationship
Users are independent. Nothing in these terms makes any user our employee, agent, joint venturer or partner, or makes us the employer of anyone who does work found through FixRally. You may not make commitments on our behalf.
19. Fee circumvention
19.1. You may not intentionally evade a referral fee that you and another user agreed to in the app. Example: arranging for the customer to cancel in the app and then hiring you directly, so the agreed fee is not paid.
19.2. This rule is narrow. Settling a tracked referral fee directly between pros is allowed; that is how tracked referrals work. Talking to or working with a customer after they choose you is normal and allowed.
20. Things you must not do
You must not:
- break the law, or help anyone else break it;
- post or send anything the Community Rules forbid;
- harass, threaten, bully or abuse anyone;
- discriminate against anyone because of race, color, religion, sex, sexual orientation, gender identity, national origin, disability, age, familial status or any other status protected by law, including when deciding whom to serve or refer;
- agree with competitors on prices, rates or minimums, agree not to undercut each other, divide customers, jobs or territories, coordinate bids, or agree to refuse to deal with a customer, supplier or pro (see the Community Rules);
- pretend to be someone else, or misrepresent your identity, license, insurance, business or work;
- create fake accounts or more than one personal account;
- post fake, paid-for or self-written reviews, ratings or recommendations, or offer anything of value in exchange for one;
- make up referrals, customers, quotes or jobs;
- send spam, chain messages, bulk messages or unsolicited advertising;
- scrape, crawl or collect data from FixRally by automated means, or use bots or automated accounts;
- copy, sell, reverse engineer, overload, probe or interfere with FixRally or its security;
- use another user's information for anything other than the job or conversation it was shared for.
21. Paid features (later)
21.1. The current version of FixRally is free and has no payments.
21.2. We plan to add paid features later, such as subscriptions, a verified badge, paid referral modes, paid consults, Academy courses, profile boosts and sponsored posts. Before any of them starts, we will show the price and what you get, publish the terms that apply, and ask you to agree.
21.3. Purchases made through Apple or Google will follow their payment and refund rules.
22. Our intellectual property
22.1. FixRally, its software, design, text, graphics, logos and the FIXRALLY name belong to RLHF Labs LLC or its licensors. These terms do not give you any right to them except the license below.
22.2. We give you a personal, limited, revocable, non-exclusive, non-transferable license to use the FixRally apps and websites as these terms allow.
22.3. Do not use our name or logo in a way that suggests we endorse you, except through the share tools we provide.
23. Disclaimer of warranties
23.1. FIXRALLY IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
23.2. We do not promise that FixRally will be uninterrupted, secure or error-free, or that any content, answer, AI output, user, pro or customer is accurate, qualified, licensed, insured or trustworthy.
23.3. Some states do not allow some of these disclaimers, so some may not apply to you.
24. Limitation of liability
24.1. TO THE FULLEST EXTENT THE LAW ALLOWS, RLHF LABS LLC AND ITS OWNERS, MANAGERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OR GOODWILL, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
24.2. TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR PROPERTY DAMAGE, PERSONAL INJURY OR ANY OTHER LOSS ARISING FROM WORK DONE OR NOT DONE BY A USER, FROM ANY DEALINGS BETWEEN USERS, OR FROM RELYING ON ANY CONTENT, ANSWER OR AI OUTPUT.
24.3. TO THE FULLEST EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO FIXRALLY OR THESE TERMS IS LIMITED TO THE GREATER OF $100 OR THE FEES YOU PAID TO FIXRALLY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
24.4. These limits apply under every legal theory, including contract, tort, negligence and statute. They do not limit liability that the law does not allow us to limit, such as liability for our fraud or willful misconduct. Some states do not allow some of these limits, so some may not apply to you.
25. Indemnification
25.1. To the extent the law allows, you will defend, indemnify and hold harmless RLHF Labs LLC and its owners, managers, employees and agents from any third-party claim, and from the losses, damages, fines and costs (including reasonable attorneys' fees) that result, arising from:
- your content;
- your conduct on or off FixRally toward other users;
- jobs you quote, perform or refer, and your dealings with customers and other users;
- your breach of these terms, of any law, or of anyone's rights;
- any claim by a customer you brought to FixRally or referred.
25.2. We may take control of the defense of a claim at our own cost. You will cooperate with us. You may not settle a claim that affects us without our written consent.
26. Release of claims between users
26.1. Disputes about jobs, quotes, referral fees and other dealings are between the users involved. To the fullest extent the law allows, you release RLHF Labs LLC and its owners, managers, employees and agents from all claims, known and unknown, arising from or connected with disputes between you and other users or customers.
26.2. California residents. You waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You also waive any similar law of any other state.
26.3. This release does not cover our own fraud or willful misconduct, or claims that cannot be released by law.
27. Suspension and termination
27.1. You can stop using FixRally at any time and delete your account (section 28).
27.2. We may suspend or close your account, remove content or limit features, at any time and with or without notice, if you break these terms or the Community Rules, if we reasonably suspect fraud or abuse, if the law requires it, or to protect users, customers or FixRally. For zero-tolerance violations we act without warning.
27.3. We may also stop offering FixRally, or any part of it, at any time.
28. Deleting your account
28.1. You can delete your account in the app (Me › Delete account) or at fixrally.com/account/delete.
28.2. Your open referrals are withdrawn right away and your content is hidden right away.
28.3. For 7 days you can restore your account. Restoring brings back the account only; it does not reopen withdrawn referrals.
28.4. After 7 days, your account and content are deleted as described in the Privacy Policy, which also lists the records we keep.
28.5. Deleting your account does not cancel agreements you made with other users.
29. Disputes: informal resolution and arbitration
29.1. Scope. This section covers any dispute, claim or controversy between you and RLHF Labs LLC relating to FixRally or these terms ("dispute"), including disputes about whether this section applies. It does not cover disputes between users.
29.2. Talk to us first. Before starting an arbitration or court case, the side bringing the dispute must send a written notice describing it, the relief wanted and the sender's contact details. Send yours by email to support@fixrally.com and by mail to RLHF Labs LLC, 5416 Spring Mountain Rd, Unit 103, Las Vegas, NV 89146. We will send ours to the email on your account. Both sides will try in good faith to resolve the dispute for 60 days after the notice is received. Time limits for bringing the claim pause during those 60 days.
29.3. Binding individual arbitration. If the dispute is not resolved in 60 days, it will be decided by binding individual arbitration administered by the American Arbitration Association ("AAA"). The AAA Consumer Arbitration Rules apply if you use FixRally mainly for personal or household purposes. Otherwise the AAA Commercial Arbitration Rules apply. The rules are at adr.org. The Federal Arbitration Act governs this section.
29.4. How arbitration works. The arbitrator may award the same individual relief a court could, but only for the individual party. Hearings may be held by video or phone, on documents alone for smaller claims, or in person in the county where you live or in Clark County, Nevada. Filing and arbitrator fees are paid as the AAA rules provide. If you show that the costs would be prohibitive compared to court, we will pay as much of them as the arbitrator finds necessary to prevent that.
29.5. Exceptions. Either side may bring an individual claim in small-claims court if it qualifies and stays there. Either side may go to court to stop actual or threatened infringement or misuse of intellectual property.
29.6. Class action waiver. You and we may bring disputes only individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not combine more than one person's claims, except as section 29.8 allows.
29.7. Jury waiver. If a dispute goes to court for any reason, you and we waive any right to a jury trial, to the extent the law allows.
29.8. Mass filings. If 25 or more similar demands are filed against us or by us, by the same or coordinated lawyers or organizations, they will be administered in batches of up to 25 demands, with one arbitrator per batch. The first batch is decided before the next batch starts. The AAA's mass arbitration rules apply where they fit. Time limits for bringing claims pause for demands waiting in a later batch. A court may enforce this section.
29.9. If the class waiver fails. If a court decides that the class action waiver in section 29.6 cannot be enforced for a particular claim or type of relief, that claim or relief, and only that one, will go to court under section 30, and it will be paused until the individual arbitration is finished.
29.10. Opt-out. You can opt out of this section 29 by emailing support@fixrally.com with the subject line "Arbitration Opt-Out" within 30 days after you first accept these terms. Include your name and the email or phone number on your account. If we make a material change to this section, you may opt out within 30 days after the change takes effect, in the same way. Opting out does not affect the rest of these terms.
29.11. If any other part of this section 29 is found unenforceable, the rest of it still applies.
30. Governing law and courts
Nevada law governs these terms and any dispute, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs section 29. Any dispute that is not arbitrated will be brought only in the state or federal courts located in Clark County, Nevada, and you and we consent to their jurisdiction and venue.
31. Time limit to bring a claim
To the extent the law allows, any claim relating to FixRally or these terms must be brought within one year after it arises. Otherwise it is permanently barred.
32. Export controls and sanctions
You must follow all US export control and sanctions laws when you use FixRally. You confirm that you are not located in a country or region subject to a comprehensive US embargo, and that you are not on any US government list of prohibited or restricted parties.
33. Electronic communications
You agree that we may communicate with you electronically: in the app, by email, by push notification and, if you opt in, by text message. Agreements, notices and disclosures we send electronically satisfy any legal requirement that they be in writing. Text messages are sent only as described in the SMS Terms.
34. Changes to FixRally and these terms
34.1. We may add, change or remove features at any time.
34.2. We may update these terms. If a change is material, we will tell you in the app or by email at least 30 days before it takes effect, unless the law requires a change sooner; then we will tell you as soon as we can. The app will ask you to accept the new version. If you do not accept it, you may delete your account.
34.3. Changes do not apply to disputes that arose before the change took effect.
35. App store terms
35.1. This section applies if you got the FixRally app from the Apple App Store. Where it fits, it also applies to Google Play.
35.2. These terms are between you and RLHF Labs LLC only, not Apple. We, not Apple, are responsible for the app and its content.
35.3. Your license to use the app is limited to Apple-branded devices you own or control, as the App Store's usage rules allow.
35.4. Apple has no duty to provide maintenance or support for the app.
35.5. If the app fails to meet any warranty that applies by law, you may tell Apple, and Apple will refund the purchase price, if any. To the extent the law allows, Apple has no other warranty obligation for the app.
35.6. We, not Apple, are responsible for handling claims about the app, including product liability claims, claims that the app fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
35.7. If anyone claims that the app or your use of it infringes their intellectual property, we, not Apple, are responsible for investigating, defending, settling and discharging the claim.
35.8. You confirm that you are not in a country subject to a US embargo or designated by the US government as supporting terrorism, and that you are not on any US list of prohibited or restricted parties.
35.9. You must follow any third-party terms that apply when you use the app, such as your mobile carrier's terms.
35.10. Questions, complaints and claims about the app go to RLHF Labs LLC at the address and email at the top of these terms.
35.11. Apple and its subsidiaries are third-party beneficiaries of these terms. Once you accept these terms, Apple may enforce them against you as a third-party beneficiary.
36. General
36.1. Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, such as outages of internet, hosting or telecom providers, natural disasters, war, labor actions or government acts.
36.2. Assignment. You may not assign or transfer these terms or your account without our written consent. We may assign these terms in connection with a merger, acquisition, reorganization or sale of all or part of our business or assets.
36.3. Severability. If any part of these terms is found unenforceable, it will be enforced to the maximum extent possible and the rest stays in effect.
36.4. Entire agreement. These terms and the documents listed in section 1.4 are the entire agreement between you and us about FixRally. They replace earlier agreements on the same subject.
36.5. No waiver. If we do not enforce a term, we have not waived our right to enforce it later.
36.6. Survival. Sections that by their nature should survive the end of your account survive it, including sections 7.4, 8, 9, 11, 14 to 16, 19 and 22 to 36.
36.7. Notices. We send notices in the app, by email or, if you opted in, by text. You send notices to support@fixrally.com, and for disputes also by mail as section 29.2 says.
36.8. Headings are for convenience only.
